Terms of Service

1. Acceptance of Terms

Sound Promote is a service operated by Verbose Digital LLC, a company registered in New Mexico, USA. By accessing or using Sound Promote ("Service"), operated at www.soundpromote.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Verbose Digital LLC, doing business as Sound Promote.

2. Description of Service

Sound Promote is a music promotion platform designed for record labels and artists. The Service enables users to upload music tracks (in WAV, MP3, FLAC, and AIFF formats), manage contact lists of DJs, curators, and media professionals, send promotional email campaigns, track engagement metrics (including opens, plays, downloads, and favorites), and collect structured feedback from recipients. The specific features and functionality of the Service may change over time as we continue to develop and improve the platform.

3. Beta Service Disclaimer

Sound Promote is currently in private beta. The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied. During the beta period, features may be incomplete, contain bugs, or be subject to change or removal without prior notice. We do not guarantee uptime, data retention, or uninterrupted access during the beta phase.

  • We will provide at least 30 days' notice before transitioning from beta to generally available service.
  • Upon transition, your data (tracks, contact lists, campaign history) will carry over to your new plan. No action is required to preserve your data.
  • If you choose not to continue after the beta, you will have at least 30 days to export your data before account closure.

4. Account Registration and Responsibilities

To use the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to keep your account information up to date. You must notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree not to use the Service to:

  • Upload, share, or promote content that you do not have the rights to use or distribute.
  • Violate any applicable local, national, or international law or regulation.
  • Infringe upon the intellectual property rights of any third party.
  • Transmit any malicious code, viruses, or harmful data.
  • Attempt to gain unauthorized access to the Service, other user accounts, or related systems.
  • Use the Service in any manner that could damage, disable, or impair its operation.
  • Engage in any fraudulent, deceptive, or misleading activity.
  • Upload purchased, scraped, or otherwise improperly obtained email lists.

You warrant that you have obtained all necessary consent from contacts before adding them to the Service. You are solely responsible for the lawfulness of your contact lists and for ensuring compliance with all applicable data protection regulations.

6. Email Marketing Compliance

When using Sound Promote to send promotional email campaigns, you agree to comply with all applicable email marketing laws, including but not limited to the CAN-SPAM Act, the General Data Protection Regulation (GDPR), and any other relevant legislation in the jurisdictions where your recipients are located.

  • You must have valid consent or another lawful basis to send promotional emails to every contact in your lists.
  • You must not send unsolicited emails through the platform.
  • Sound Promote provides unsubscribe mechanisms for email recipients, and you must honor all opt-out requests promptly.
  • Violation of these email marketing obligations may result in immediate suspension or termination of your account.

7. Intellectual Property and Music Rights

You retain full ownership of any music, artwork, metadata, and other content you upload to or create through the Service. By using Sound Promote, you grant us a limited, non-exclusive license to use, display, and process your content solely for the purpose of operating and providing the Service. We claim no ownership rights over your content. All rights, title, and interest in the Service itself, including its design, code, and branding, remain the exclusive property of Sound Promote.

You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions for all music you upload to the Service. This includes responsibility for clearing any samples, remixes, or other third-party content contained within your tracks. Sound Promote reserves the right to remove any content that appears to infringe on the copyright or intellectual property rights of any third party.

8. Privacy

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy. Our Data Processing Agreement, available at /dpa, forms an integral part of these Terms and is binding upon acceptance.

For purposes of the EU General Data Protection Regulation (GDPR), Sound Promote acts as a Data Processor with respect to contact list data provided by users. Our Data Processing Agreement at /dpa governs this relationship.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Sound Promote and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service. In no event shall our total liability exceed the amount you have paid us, if any, in the twelve months preceding the claim.

10. Account Deletion

You may request deletion of your account at any time from Settings → My Account. Upon request, your account will be scheduled for permanent deletion after a 30-day grace period. During this grace period:

  • Your account will be inaccessible to you and to others, and any paid subscription will be set to cancel at the end of the current billing period.
  • You may reactivate your account with a single click at any time before the grace period ends. Upon reactivation, all your data will be restored and, if applicable, your subscription will resume.
  • No refunds or prorations will be issued for the unused portion of the current billing cycle. Subscription fees are non-refundable.

After 30 days elapse, your account, all associated data (including organization data if you are a label owner), uploaded files (audio, artwork, logos), campaigns, contact lists, feedback, and authentication credentials will be permanently and irreversibly deleted. Deletion is final and cannot be undone after this point. We may retain minimal records as required by law (e.g., for tax, accounting, or fraud-prevention purposes) in accordance with our Privacy Policy.

11. Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with reasonable notice except in cases of Terms violation or illegal activity. Upon termination, your right to use the Service will cease immediately. Any provisions of these Terms that by their nature should survive termination shall remain in effect.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, providing additional notice. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved in the courts located in the State of New Mexico.
